Effective Date: 23 April 2026
This Policy governs participation in the Kijanix Crews platform (“Platform”), a business-to-business labor exchange network connecting general contractors (“GCs”) for subcontracted labor capacity and project support.
By participating, each GC agrees to the terms below.
1. Independent Contractor Relationship
All participants are independent general contractors or construction businesses.
Nothing in this Policy creates:
- Employment relationship
- Partnership
- Joint venture
- Agency relationship
- Franchise relationship
Each GC remains solely responsible for:
- Their own contracts
- Their own clients
- Their own crews and subcontractors
- Construction means, methods, and execution
2. Platform Purpose (GC-to-GC Exchange Only)
Kijanix Crews is a labor exchange and contractor coordination network that allows GCs to:
- Source subcontracted labor capacity
- Offload or supplement crew demand
- Exchange labor resources with other GCs
The Platform does not:
- Contract with homeowners or end clients
- Provide construction services
- Control jobsite execution
- Manage project delivery
3. Platform Service Fee
Kijanix charges platform service fees on all transactions processed through the Platform as follows:
- A 5% platform service fee is applied to the paying GC (GC purchasing labor/services) as a demand-side platform access and facilitation fee.
- A 3% platform service fee is applied to labor supply-side transactions processed through the Platform, representing a platform participation and network facilitation fee for access to work opportunities and coordination services.
These fees:
- Apply automatically to all transactions processed through the Platform
- Are deducted at the time of payment processing or settlement through the Platform
- Are non-negotiable and apply uniformly to all participating GCs
4. GC Pricing & Markup Rights
Each GC may:
- Set their own labor pricing
- Negotiate subcontract rates freely
- Apply markup for labor supplied through the Platform
GC pricing must be:
- Disclosed within the GC-to-GC agreement
- Agreed before work begins
- Transparent between contracting GCs
5. Subcontracting & Labor Rules
All labor exchanged through the Platform must be:
- Independent subcontractor labor
- Controlled and supervised by the contracting GC
Prohibited:
- Misrepresenting employees as Platform labor
- Using unapproved or undisclosed crews
- Assigning labor without GC-to-GC agreement
6. Substitution & Crew Restrictions
GCs may not:
- Subvert agreed labor assignments
- Replace assigned crews without consent of the contracting GC
- Interfere with labor already allocated through Platform agreements
All substitutions must be mutually agreed in writing.
7. Rating System (GC Performance Network)
GCs are evaluated through a performance-based rating system.
Rating Factors:
- Labor quality delivered
- Timeliness of crew deployment
- Communication and coordination
- Reliability of labor commitments
- Professional conduct between GCs
Time-Weighted Scoring:
- Ratings are time-weighted
- Recent performance has greater impact than historical performance
- Older ratings decay over time to reflect current reliability
8. Minimum Performance Standards
GCs must maintain minimum platform performance thresholds to remain active.
Failure to maintain standards may result in:
- Reduced access to labor requests
- Suspension from Platform
- Permanent removal
9. Anti-Circumvention / Non-Bypass
GCs agree not to:
- Circumvent the Platform to avoid paying fees on labor introductions made through the Platform
- Directly engage in labor exchanges initiated through the Platform outside of it
- Solicit labor partners introduced through the Platform for off-platform work that bypasses fees
- Interfere with or redirect other GC assignments
This applies strictly to:
- GC-to-GC labor relationships
- Subcontractor introductions made through the Platform
10. Non-Exclusivity
Participation is non-exclusive.
GCs may:
- Work outside the Platform
- Engage in other GC relationships independently
- Decline any labor assignment
No minimum workload is guaranteed.
11. Termination & Suspension
Kijanix reserves the right to:
- Suspend GC access
- Restrict platform usage
- Remove GC from the network
This may occur:
- With or without cause
- At any time
Removal does not affect:
- Completed transactions
- Outstanding obligations between GCs
- Fee obligations already incurred
12. No Control of Construction Work
Kijanix does not:
- Supervise jobsite work
- Control labor execution
- Manage project timelines
- Assume responsibility for construction outcomes
All responsibility remains with the contracting GC.
13. Payment Processing
Payments may be processed through third-party systems such as Trustap or similar providers.
Kijanix:
- Facilitates payment routing between GCs
- Applies platform fees
- Does not assume liability for payment disputes between GCs
14. Confidentiality of GC Relationships
GCs agree not to disclose, misuse, or exploit:
- Other GC pricing structures
- Labor rates obtained through the Platform
- Internal availability or capacity data
15. Changes to Policy
Kijanix may update this Policy at any time.
Continued use of the Platform constitutes acceptance of updated terms.
16. Governing Law
This Policy is governed by the laws of the State of Texas.
